Terms & Conditions

These Terms and Conditions (“Terms”) govern all services provided by Design Co Studio (“we”, “us”, “our”) to the client (“you”, “your”). By engaging our services, you agree to be bound by these Terms.

1. Scope of Services

We provide creative, web design, and search engine optimisation (“SEO”) services. The scope, timelines, and deliverables for each project will be outlined in a written proposal or agreement between both parties.

2. Payment Terms
2.1 Creative Media and Web Design Services

  • A non-refundable deposit of 50% of the total project fee is payable before work commences.
  • At the project’s halfway point, we reserve the right to request a further 25% payment.
  • The final 25% payment is due upon project completion and delivery.
  • All intellectual property and content remain the property of Design Co Studio until the project has been paid for in full and formally handed over to you.

2.2 SEO Services

  • SEO services require a minimum six (6) month commitment.
  • A three (3) month payment upfront is required before SEO work commences.
  • SEO services are strictly non-refundable, due to the level of work, resources, and strategy applied from the outset.
  • During this period, no other web designers, developers, agencies, or third parties may alter or interfere with the website or SEO. This ensures that our efforts are maximised and free from conflicts.

3. Client Responsibilities and Project Delays

  • You are responsible for supplying all required website assets, including but not limited to photography, video, text, and other media, in a timely manner.
  • If you fail to provide these assets, we reserve the right to place your project on hold until our next availability in the production schedule.
  • Should you subsequently request a refund, you may be entitled to a partial refund of up to 25% (0–25%), at the sole discretion of Design Co Studio. This is only applicable where no project work has commenced and is not guaranteed.

4. Intellectual Property and Usage Rights

  • We retain ownership of all creative work, including designs, code, and content, until payment is received in full.
  • You may not redistribute, resell, or provide our work to any third-party web designer, agency, studio, developer, or equivalent without our express written consent.
  • We reserve the right to showcase your project as a case study and promote it on our website, portfolio, and social media channels unless otherwise agreed in writing.

5. Tools, Subscriptions, and Maintenance
5.1 Premium Tools and Hosting

  • During the design and build process, we may use premium tools, plugins, hosting, or SSL certificates.
  • If you have a maintenance plan with us, we will manage and maintain these subscriptions.
  • If you do not have a maintenance plan, you will be responsible for obtaining your own hosting, SSL, and subscriptions to premium tools in order to keep the website functional.

5.2 Renewals and Termination

  • Our subscriptions are billed annually.
  • Should you choose not to continue with our maintenance service after the first year, you will be responsible for arranging and paying for your own hosting, SSL, and any premium tool subscriptions required.

5.3 Transfer and Handover

  • If your website is hosted and managed by us, and you wish to transfer it elsewhere, a £500 handover fee applies.

6. Attribution

  • Each website we create will include our signature mark in the footer, with a hyperlink back to our website.
  • Should you wish to remove this attribution, a one-off fee of £125 will apply.

7. Liability

  • We shall not be liable for any loss, damage, or disruption caused by third-party providers, hosting services, or tools beyond our reasonable control.
  • You are responsible for ensuring the accuracy and legality of all content provided to us for use in your project.

8. Termination

We reserve the right to suspend or terminate services if:

  • Payments are not made in accordance with these Terms.
  • You engage third parties in conflict with our SEO or design services during an active contract.
  • All deposits, interim payments, and SEO service fees are non-refundable.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
